1.1 Introduction

Welcome to Uxgraphy.

These Terms & Conditions (“Terms”) govern your access to and use of our website, services, resources, templates, and any digital product provided by us.

By accessing or using our platform, you agree to be legally bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or services.

1.2 Definitions

“Company”, “We”, “Us”, “Our” refers to Uxgraphy, operated by Harsh Parmar, Pune, Maharashtra, India.

“Client” means any person, company, or entity that engages with Uxgraphy for paid or unpaid services.

“User” means any visitor to the website or consumer of our free resources.

“Services” refer to all digital offerings including design, development, product strategy, pitch deck creation, resource downloads, and any consulting.

1.3 Updates to Terms

These Terms may be updated periodically. We will update the "Effective Date" above accordingly.

It is your responsibility to review these Terms regularly. Continued use of the site or services after changes constitutes your acceptance of those changes.

2.1 Service Categories

Uxgraphy offers the following types of services:

Design and delivery of digital products (web/mobile interfaces, dashboards, portals)

MVP development using modern frameworks (Flutter, MERN, etc.)

UX audits, design systems, and product improvement consulting

Strategy consulting including landing pages, pitch decks, pricing frameworks

Access to downloadable templates, playbooks, and learning resources

All services are tailored per engagement and subject to proposal approval and written agreement.

2.2 Custom Engagements

Custom projects will be governed by separate proposals, Statements of Work (SOW), or contracts that detail:

Project scope and milestones

Pricing and payment structure

Timeline and delivery formats

Review and feedback loops

In case of conflict between the SOW and these Terms, the SOW takes precedence.

3.1 Payment Terms

For fixed-scope projects: 50% advance, 50% on completion (unless stated otherwise in proposal)

For retained/embedded support: Monthly in advance

Invoices are payable within 7 days of receipt unless otherwise agreed

Late payments may attract a service charge of 2% per month

All payments must be made in INR or USD, via approved channels (bank transfer, UPI, Stripe, etc.)

3.2 Taxes

All fees quoted are exclusive of GST, withholding tax, or other applicable local/international taxes.

Clients are responsible for any required tax compliance on their end.

3.3 Refund Policy

Due to the high-investment nature of custom design and development work, all payments are non-refundable once work has commenced, unless explicitly agreed in writing.

Exceptions may apply in the event of:

Project cancellation before kickoff

Non-delivery due to fault from Uxgraphy

In such cases, refund amount and terms will be at the sole discretion of the Company.

4.1 IP Ownership

Upon full payment, the Client will receive a perpetual, non-exclusive license to use the final approved deliverables for the agreed-upon purpose (e.g. internal use, public launch, investor presentation, etc.)

All source files, design systems, codebases, and Figma links remain property of Uxgraphy until full payment is completed.

4.2 Retained IP

Uxgraphy retains ownership of all pre-existing intellectual property, internal tools, templates, or frameworks used during delivery.

We may reuse internal systems, patterns, or design language in future unrelated projects, unless explicitly marked as confidential by the client.

4.3 Attribution & Showcase Rights

Unless restricted by NDA, Uxgraphy may:

Display project snippets in portfolio, case studies, or social channels

Publicly reference the client as a past collaborator

Publish anonymized insights derived from the project

Client may request removal or anonymization via written request.

5.1 Mutual NDA (Implied)

Both Uxgraphy and the Client agree to maintain strict confidentiality regarding:

Business strategies, user data, or proprietary information

Login credentials, financial data, or product roadmaps

Unreleased features, investor information, or internal systems

This includes any material shared during discussions, development, or post-project reflection.

5.2 Exceptions

Confidentiality obligations do not apply to:

Information already in the public domain

Knowledge acquired independently or from third parties

Disclosures required by law or legal authorities

5.3 NDA Requests

If a Client prefers a formal NDA, Uxgraphy is open to signing a mutual non-disclosure agreement, subject to legal review.

6.1 By Client

The Client may terminate the engagement at any time with 7 days’ written notice.

However, all completed milestones, hours worked, or deliverables in progress will be invoiced proportionally.

No refund shall be provided for completed work.

6.2 By Uxgraphy

We may pause or terminate a project under the following circumstances:

Repeated non-payment

Scope creep without alignment

Disrespectful, unethical, or abusive behavior from Client or team

Legal risk or non-compliance on Client’s end

Any unused hours or uninitiated scope may be refunded or waived at our discretion.

6.3 Post-Termination

Upon termination:

All non-confidential deliverables will be shared

Access to shared tools, boards, drives, and design systems will be revoked

Uxgraphy retains IP ownership on unpaid or unused work

7.1 Limitation of Liability

To the maximum extent permitted by applicable law:

Uxgraphy shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost revenue, lost profits, data loss, or business interruption.

Our liability for any project, in any scenario, shall be limited to the total amount paid by the Client for that specific project.

This clause survives termination of engagement.

8.1 Jurisdiction

These Terms shall be governed by the laws of the Republic of India.

8.2 Arbitration

In the event of any dispute:

Both parties shall first attempt informal resolution via email or scheduled call

If unresolved, the matter will be submitted to a neutral arbitrator in Pune, Maharashtra, whose decision shall be final and binding

All fees associated with arbitration will be split evenly between the parties, unless decided otherwise by the arbitrator

9.1 Acceptable Use

You agree to use Uxgraphy’s website and resources only for lawful purposes and in a manner that does not:

Violate any applicable laws or regulations

Infringe on any third-party rights

Disrupt or interfere with the site, servers, or networks

Attempt to gain unauthorized access to any portion of the platform, documents, or backend infrastructure

9.2 User Conduct

You are prohibited from:

Copying, redistributing, or selling any part of the content or assets

Using bots, scrapers, or automated tools to extract website data

Impersonating Uxgraphy or its team members without consent

10.1 Intellectual Property & Copyright

Unless otherwise stated:

All visual content, written content, design systems, code snippets, logos, and product frameworks displayed on this website are the exclusive intellectual property of Uxgraphy.

Unauthorized use, duplication, or redistribution is strictly prohibited and may result in legal action.

If you believe any content on this site violates your intellectual property rights, please contact us at legal@uxgraphy.com for resolution.

11.1 Third-Party Links & Tools

Uxgraphy may include links to:

External sites (e.g. Stripe, Notion, Figma, GitHub)

Third-party templates, tools, or documentation

We do not control or guarantee the accuracy, relevance, or safety of third-party content. Use at your own discretion and subject to their respective terms.
